This User Agreement (the "Agreement") is a public offer made by Yashil Inno LLC (the "Operator"). It sets out the terms of use of the services of the Agroimkon ecosystem. The Agreement is addressed to any person with legal capacity who registers with or uses the services.
1. General provisions
1.1. The services of the Agroimkon ecosystem (together, the "Platform") include:
- the website agroimkon.uz;
- the platform app.agroimkon.uz, including its version inside Telegram (Telegram Mini App) and the mobile apps for Android and iOS;
- the classifieds board shop.agroimkon.uz ("Agroimkon Eʼlonlar");
- the Telegram bot @agroimkon_bot;
- other services that the Operator expressly designates as part of the Platform.
1.2. The Agreement is a public offer within the meaning of the Civil Code of the Republic of Uzbekistan (Articles 366, 367, 369 and 370) and the Law of the Republic of Uzbekistan 'On Electronic Commerce'. The offer is accepted by any of the following actions: ticking the box accepting the Agreement and consenting to the processing of personal data when registering or signing in; clicking a button that confirms consent; actually using the Platform features available after signing in to the Account. Acceptance means full and unconditional acceptance of the Agreement. The contract between the Operator and the User is deemed concluded in written (electronic) form at the moment of acceptance. Confirmation of the phone number by a one-time SMS code or via Telegram, together with the consent tick, is recognised as proper confirmation of the User's intent.
1.3. The following form an integral part of the Agreement:
- Privacy and Personal Data Processing Policy;
- Consent to the Processing of Personal Data;
- Listing Rules;
- the description of Plans on the Plans page and in the "Plan" section of the Platform.
1.4. If the User does not agree with the Agreement in whole or in part, the User may not register or use the Platform features that are available after signing in.
1.5. The Agreement is published in Uzbek, Russian and English. All versions have the same content. In the event of any discrepancy in interpretation, the Uzbek text prevails.
2. Definitions
2.1. User means an individual, an individual entrepreneur or a representative of a legal entity who has accepted the Agreement.
2.2. Account means the User's account linked to a mobile phone number. Sign-in is by a one-time SMS code or via Telegram.
2.3. Profile means the User's line of business within the Account: farmer or gardener, exporter, importer, logistics company, storage (cold store), processor. One Account may have several Profiles.
2.4. Participant means a User with a verified Profile.
2.5. Listing means information about a product, harvest, plot, service, route, storage facility, demand or other offer posted by a User on the Platform.
2.6. Request (deal) means an approach by one Participant to another through the Platform, such as a request to buy, transport, store or process, together with its statuses and correspondence.
2.7. Contact reveal means an action after which a Participant is shown the name (company name), phone number and Telegram of another Participant.
2.8. Plan means a set of Platform features and limits for a Profile. Subscription means the activation of a paid Plan for a specified period.
2.9. Content means texts, photos, documents, messages and other materials that the User posts or transmits through the Platform.
3. Registration and Account
3.1. Persons aged 18 or over with full legal capacity may use the Platform with an Account. A person acting on behalf of a legal entity or an individual entrepreneur confirms that they are authorised to do so.
3.2. To register, the User enters a mobile phone number and confirms it with a one-time SMS code, or signs in via Telegram. When the User signs in via Telegram, the phone number is confirmed by Telegram itself when the User shares their contact with the bot @agroimkon_bot.
3.3. The User undertakes to provide accurate, up-to-date and complete information about themselves, their company, plots, products and services, and to update it promptly.
3.4. One person maintains one Account. Several lines of business are set up as Profiles within one Account. Creating additional Accounts to circumvent blocks or Plan limits is prohibited.
3.5. The User is responsible for keeping access to their phone number, Telegram and device secure. Actions performed after signing in to the Account are deemed to have been performed by the User. The User must notify the Operator immediately of any unauthorised access.
3.6. Profiles are subject to verification (moderation). The Operator may request supporting information or documents, such as those on state registration, TIN (INN) or the right to use land. The Operator may refuse to verify a Profile if the information is inaccurate or has not been confirmed. The "Verified company" badge is awarded only following moderation and is not for sale.
4. Profiles and roles
4.1. A farmer / gardener posts information about their plots, harvest and products, responds to requests and reveals the contacts of companies. The basic Plan is free of charge for farmers and gardeners.
4.2. Exporters and importers find harvests and suppliers, post offers and demand, send Requests and reveal contacts within their Plan.
4.3. Logistics companies, storage (cold store) facilities and processors post routes, storage facilities, capacities and services, accept orders and find customers within their Plan.
4.4. Employees of a company that is a User act on its behalf within the access granted to them. The company is responsible for their actions on the Platform.
4.5. Operator staff moderate content, review complaints, keep records of payments and provide support. They have access to Users' data only to the extent necessary for their duties. Staff actions are logged.
5. Rights and obligations of the User
5.1. The User may:
- use the Platform features in accordance with the Agreement and their Plan;
- post Listings and send Requests;
- change and delete their data and Content;
- contact support and submit complaints;
- delete their Account as described on the Account deletion page.
5.2. The User undertakes to:
- comply with the laws of the Republic of Uzbekistan, including those on trade, phytosanitary and veterinary control, export and import, advertising, consumer protection and personal data;
- hold licences, permits, certificates and other documents where they are required for the User's activities or for the circulation of goods;
- use contacts obtained through the Platform only for negotiations and deals related to the posted offers;
- process personal data of other Users received through the Platform in accordance with personal data legislation and not disclose it to third parties;
- not mislead other Users or the Operator;
- comply with the Listing Rules.
5.3. The User must not:
- post prohibited goods or services, or information that is false, offensive or fraudulent or that infringes the rights of third parties;
- send spam or intrusive advertising, including through chats and Requests;
- collect Platform data by automated means (scripts, bots, parsers, "scraping"), copy catalogues and contact databases, or circumvent limits and technical restrictions;
- impersonate another person or company;
- interfere with the operation of the Platform, search for or exploit vulnerabilities, or distribute malware;
- use the Platform for activities prohibited by law.
6. Listings and content
6.1. The User is solely responsible for the Content they post, including its accuracy and lawfulness and for holding the rights to photos and texts. A Listing is the User's information about a product or service. The User is responsible for ensuring that the Listing complies with advertising and consumer protection legislation.
6.2. Listings are moderated before or after publication. The Operator may reject, unpublish, edit the formatting of (without changing the meaning) or block a Listing that violates the Agreement, the Listing Rules or the law. The User is informed of the reason unless the law provides otherwise.
6.3. Any User may report a Listing, Profile or Request. The Operator reviews complaints and, based on the outcome, may block the Listing, Profile or Account. Complaints must not be used to put pressure on competitors. Abuse of complaints may lead to restrictions.
6.4. By posting Content, the User grants the Operator a royalty-free, non-exclusive licence to use the Content for the period of posting and for the retention period set out in the Privacy Policy. The licence includes the right to store, reproduce, display, adapt to format (reduce images, add an "agroimkon.uz" watermark), translate and distribute the Content within the Platform services. This includes displaying information about plots and products, without contacts, on the agroimkon.uz website and in the Telegram bot.
6.5. The Operator is not obliged to check all Content before publication and is not responsible for Users' Content. If the Operator becomes aware of a violation, it will take action within a reasonable time.
7. Interaction and deals between Users
7.1. The Platform is an information service that helps Users find each other and reach agreements. The Operator is not a seller, buyer, carrier, custodian, agent or representative of Users. The Operator is not a party to deals between them.
7.2. Users conclude and perform sale and purchase, carriage, storage, processing and other contracts on their own. Payments under these contracts are made directly between Users, outside the Platform. The Operator does not charge a commission on deals between Users.
7.3. Request statuses, history, reviews and correspondence on the Platform are for information only. They do not replace a contract or primary documents.
7.4. The Operator does not guarantee:
- the existence, quality, safety, quantity or lawfulness of goods and services;
- the accuracy of Listings and information about Users, except for facts verified during moderation;
- the solvency and good faith of Users;
- the conclusion and performance of deals.
7.5. Users resolve disputes between themselves on their own. At a User's request, the Operator may review a complaint, restrict the violator and provide information from the Platform in the cases and manner established by law.
7.6. Reviews after a deal must be honest and relate to a specific deal. The Operator may hide a review that violates the Agreement.
8. Contacts and protection against data harvesting
8.1. Participants' phone numbers and Telegram are not shown in lists or on cards. A contact becomes visible:
- to both parties, after one party has accepted the other party's Request;
- via the "Show contact" button, within the Plan limit or free of charge in the cases specified in the Plan description (for example, a farmer reveals a company's contact, or a company has enabled open contacts).
8.2. A farmer or gardener may allow their contact to be shown to Participants on a paid Plan, or choose the "only after an accepted request" mode, if the Operator has enabled this choice. The Operator determines the default mode and whether a choice is available, and shows this in the Profile settings.
8.3. Each contact reveal is logged: who revealed it, whose contact it was, when, from which section, the IP address and device information. The owner of the contact can see which companies have revealed their contact and can block or report a company.
8.4. To protect the database against harvesting, limits apply to: page size and the depth of catalogue browsing, the number of contact reveals per hour and per day (including on the highest Plan), and request frequency. Until a contact is revealed, plot coordinates are shown approximately (to within about 1 km).
8.5. It is prohibited to:
- reveal contacts in bulk or for purposes other than negotiations;
- transfer contacts and Listings to third-party databases, channels or chats, sell them or pass them to third parties;
- use contacts for mailings without the recipient's consent;
- circumvent limits by using several Accounts or Profiles.
8.6. If section 8 is breached, the Operator may prohibit the Profile from revealing contacts, suspend the Subscription or block the Account, without refunding payment for the period of the breach.
9. Plans, Subscriptions, pilot and payment
9.1. Free features. Farmers and gardeners have the free "Farmer" Plan. Companies have the free "Showcase" tier: a card in the catalogue and replies to incoming requests. The Operator may change the scope of free features in accordance with section 13.
9.2. Paid Plans. Current Plans, their features, limits and prices are published on the Plans page and in the "Plan" section of the Platform. A Plan price may be stated in UZS (soʻm) or in US dollars. If the price is stated in US dollars, the amount payable is invoiced in UZS (soʻm) at the exchange rate of the Central Bank of the Republic of Uzbekistan on the invoice date. Value added tax is shown in the invoice where it applies.
9.3. Pilot period. The Operator may announce a pilot period during which paid features or limits are provided free of charge or without restriction. The Operator announces the end of the pilot period on the Platform in advance, at least 30 days beforehand. The pilot period does not create an obligation to provide free access after it ends.
9.4. Trial period. A company may receive a free trial period of a paid Plan once, for the term specified in the Plan description (14 days as at the date of publication). No card details are required for this. After the trial period, the Profile moves to "Showcase" unless the Subscription has been paid.
9.5. Payment procedure. As at the date of publication of the Agreement, payment is made by bank transfer against an invoice that is generated on the Platform or issued by the Operator. The Subscription is activated once the funds are received in the Operator's account. The Operator may grant a Subscription manually (pilot, individual terms). The Operator may enable payment by bank card and through payment services (for example, Payme). In that case, card details are processed by the payment service; the Operator does not receive or store the full card number. Automatic renewal using a saved card is enabled only with the User's separate consent and can be disabled at any time.
9.6. Subscription term and expiry. A Subscription is valid for the paid period. After that period ends, a grace period applies as specified in the Plan description (3 days as at the date of publication). If payment is not received, the Profile moves to "Showcase". Contacts already revealed remain available. Deals already started can be completed. Listings above the "Showcase" limit are unpublished but not deleted.
9.7. Changing Plan. A move to a more expensive Plan takes effect immediately: the cost of the unused days of the current Plan is credited and the difference is paid. A move to a cheaper Plan or to a different billing period takes effect from the start of the next period. Unused limits (for example, contact reveals) do not carry over to the next period.
9.8. Price changes. New prices do not affect a period that has already been paid for. The Operator notifies Users with an active Subscription of a price change at least 30 days before it applies.
9.9. Refunds. The Operator refunds payment for the unused part of the paid period if:
- the Operator was unable to provide the paid features through its own fault;
- the Operator stopped providing services for reasons other than a breach by the User;
- a refund is required by law.
A refund request is sent to the Operator using the contact details in section 17. The refund is made to the account from which the payment was received within 10 working days of the decision. If the User is blocked for breach of the Agreement, payment for the current period is not refunded unless the law provides otherwise. If the User is a consumer, this Agreement does not limit their rights under the Law of the Republic of Uzbekistan 'On Protection of Consumer Rights'.
9.10. Closing documents (tax invoice, certificate of completion) are issued in the manner established by law, including in electronic form.
10. Intellectual property
10.1. The software, design, structure and databases of the Platform, and the Agroimkon trademarks and designations, belong to the Operator or its licensors and are protected by law.
10.2. The User is granted the right to use the Platform for its intended purpose. Without the Operator's written consent, it is prohibited to copy, decompile or modify the Platform, or to extract and reuse a substantial part of its databases.
10.3. The Operator may use the User's suggestions and feedback on improving the Platform without paying any remuneration.
11. Liability
11.1. The Platform is provided "as is". The Operator takes reasonable measures to keep it running without interruption but does not guarantee that it will be free of failures and errors. The Operator tries to give advance notice of scheduled maintenance.
11.2. The Operator is not liable for:
- the actions or omissions of Users, the content of their Listings or the performance of deals between them;
- the operation of third-party services: telecom operators and the SMS gateway, Telegram, map services, payment systems, app stores;
- losses caused by inaccurate information provided by the User;
- lost profits and indirect losses.
11.3. If the Operator is found liable to a User acting for business purposes, the amount of liability is limited to the sum paid by that User to the Operator over the last 3 months. This limitation does not apply where it contradicts the law, including consumer protection law.
11.4. The User shall compensate the Operator for any losses, fines and expenses arising from the User's breach of the Agreement or the law, including in connection with third-party claims.
11.5. The parties are released from liability in the event of force majeure.
12. Blocking and termination
12.1. The User may stop using the Platform and delete their Account at any time. The procedure is described on the Account deletion page.
12.2. The Operator may restrict features, unpublish Listings, or suspend or block a Profile or Account:
- if the Agreement or the law is breached;
- in the event of data harvesting or fraud;
- if there is a threat to the security of the Platform or other Users;
- at the request of authorised state bodies.
The Operator informs the User of the block and its reason unless the law prohibits this. The User may challenge the block by sending a request using the contact details in section 17. The Operator responds within 10 working days.
12.3. After the Agreement terminates, data is retained and deleted in accordance with the Privacy Policy. The provisions on payments, liability and dispute resolution remain in force.
13. Changes to the Agreement
13.1. The Operator may amend the Agreement. Each new version is published on the Agreement page with its version number and effective date.
13.2. The Operator notifies Users of changes to the Agreement and to the Platform rules, and of any suspension of the Platform, on the Platform and on the website at least 30 days before the changes take effect. The exceptions are changes required by law and urgent security measures.
13.3. On the first sign-in after a new version takes effect, the Platform may ask the User to accept it. Continued use of the Platform after the new version takes effect means acceptance of that version. If the User does not agree with the new version, the User stops using the Platform and may delete their Account. The paid Subscription period is kept on the previous price terms.
14. Notices
14.1. The Operator sends notices on the Platform, via the Telegram bot @agroimkon_bot, by SMS or by email if the User has provided one. Service notifications (sign-in codes, moderation statuses, Requests, payments, changes to documents) are part of the service and do not require separate consent.
14.2. The parties recognise electronic messages sent through the Platform and the channels listed above as a written form of exchanging information in accordance with the legislation on electronic commerce and electronic document management.
15. Governing law and dispute resolution
15.1. The Agreement is governed by the laws of the Republic of Uzbekistan.
15.2. Disputes are resolved through negotiation. Before going to court, a party sends the other party a written claim. The time limit for responding to a claim is 30 days from the date of receipt.
15.3. If a dispute is not settled, it is heard by a court of the Republic of Uzbekistan with jurisdiction under the law. A consumer may bring a claim before the court at their place of residence.
16. Miscellaneous
16.1. If any provision of the Agreement is held invalid, the remaining provisions continue to apply.
16.2. If the Operator does not act on a breach of the Agreement, this does not deprive it of the right to take action later.
16.3. The User may not transfer their rights and obligations under the Agreement to third parties without the Operator's consent.
